Terms of Service

1. Overview
Atomic Edge provides reverse‑proxy web security and performance services (the “Service”). By creating an account or using the Service, you agree to these Terms.
2. Accounts & Authority
You must be of legal age and have authority to bind your organization. You are responsible for credentials and MFA.
3. Your Responsibilities
You control and are responsible for your origin content, configurations, and compliance with law. You must keep billing and contact details current and promptly update DNS when requested.
4. Configuration & Changes
You configure WAF/rate limits/allow‑deny lists via dashboard/API. We may update default rules to address emergent threats. Maintenance may occur with notice; emergency maintenance may occur without notice.
5. Acceptable Use
Use is subject to our Acceptable Use Policy at /legal/aup, incorporated by reference.
6. Subprocessors & Third Parties
We use vetted cloud and security vendors described at /legal/subprocessors. Their use does not diminish our obligations to you.
7. Support; Availability; SLA
Support and uptime commitments are described in the SLA at /legal/sla. Service credits are your exclusive remedy for SLA breaches.
8. Beta Features
Beta/previews are provided “AS IS” and excluded from the SLA.
9. Fees & Taxes
Fees are as shown at checkout or in your order form; recurring plans auto‑renew unless you cancel. Usage charges are billed in arrears. Prices exclude taxes; you are responsible for applicable taxes.
10. Term; Termination; Suspension
Either party may terminate for convenience effective at period end. We may suspend or terminate for AUP violations, non‑payment, security risk, unlawful activity, or legal requests. On termination you must update DNS away from the Service.
11. Intellectual Property
We retain all rights in the Service. You grant us a limited right to process traffic and content solely to provide the Service and to derive de‑identified analytics.
12. Privacy & Data Protection
Our Privacy Policy /legal/privacy and DPA /legal/dpa govern personal information processing.
13. Export; Sanctions; Anti‑Corruption
You will comply with Canadian, U.S., U.K., and EU export/sanctions and anti‑corruption laws. You may not use the Service in embargoed jurisdictions or for prohibited end‑uses.
14. High‑Risk Use
The Service is not designed for safety‑critical systems.
15. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, AND NON‑INFRINGEMENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. EXCEPT FOR (i) YOUR PAYMENT OBLIGATIONS, (ii) YOUR INDEMNITY, OR (iii) YOUR AUP/IP BREACH, EACH PARTY’S AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF FEES PAID IN THE PRECEDING 12 MONTHS OR CAD $10,000.
17. Indemnities
You will indemnify us for claims arising from your content/configurations/law violations. We will indemnify you for claims alleging the Service (as provided by us) infringes IP rights; if enjoined, we may modify, replace, or refund prepaid unused fees.
18. Governing Law; Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts‑of‑law rules. The courts of the Province of Ontario (and, where applicable, the federal courts of Canada sitting in Ontario) have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Service. Each party irrevocably submits to such courts and waives any objection based on forum non conveniens.
19. Changes
We may modify these Terms with notice by posting an updated version and revising the Effective Date. Material changes will be announced [30] days in advance.
20. Miscellaneous
No waiver; severability; force majeure; assignment with consent (not unreasonably withheld), except we may assign to an affiliate or in connection with a corporate transaction. Order of precedence: Order Form → DPA/SLA → Terms → AUP → Policies.
